Why extra General Assembly?
The eceee board has decided to propose a few minor changes to the eceee bylaws, which require a decision at a General Assembly. In order to have these changes implemented as quickly as possible, a short extra General Assembly will be held in connection with the eceee board meeting in Paris on 24 April. The proposed changes are of practical nature and meant to make the process of establishing an annual financial report and approval by the auditor easier. New regulations have increased legal requirements for associations and the auditing process now takes more time. The new bylaws will move the fiscal year slightly and allow more time between the end of the fiscal year and the General Assembly. The board also proposes to also allow a sitting vice-President be re-elected for a third consecutive term (in addition to the President).
Agenda
1. Opening of the extra General Assembly and statement whether the GA has been called out in due time.
2. Presentation of the proposed changes in bylaws and the reasons. The board proposes changes in the bylaws to facilitate the process of establishing an annual financial report and approval by the auditor. New regulations have increased legal requirements for associations and the auditing process takes more time. The board also proposes to also allow a sitting vice-President be re-elected for a third consecutive term (in addition to the President).
The board proposes that that the bylaws be changed as follows (see attached tracked-changes bylaws).
- Current fiscal year is from 1 August–31 Jul.
Proposed change: 1 September–31 July - Current bylaws stipulate GA must be held before 30 November.
Proposed change: GA must be held within six months after the end of the fiscal year (i.e., by 28 February). - Current bylaws stipulate that a sitting President may be re-elected for a third consecutive term:
Proposed change: A sitting president or vice President may be re-elected for a third term.
3. Proposal to let the changed bylaws – if approved under item 2 – to take effect as soon as possible after approval from the Swedish tax authorities. That may be as early as 2019, which would then mean that the current fiscal year would be one month longer.
